Terms and Conditions of Sale for Top Stone Station Ltd (Company No: 9256552)

1. Introduction

1.1 These Terms and Conditions ("Terms") govern the sale of goods and services by Top Stone Station Ltd, a company registered in the United Kingdom under company number 9256552 ("we," "us," "our," or "Top Stone Station").

1.2 By placing an order for Goods, you ("Customer," "you," or "your") agree to be bound by these Terms. These Terms constitute the entire agreement between us and you.

1.3 We reserve the right to update these Terms at any time. Any changes will be posted on our website www.bloomstoneslondon.co.uk. The updated Terms will apply to any order placed after such changes are published.

2. Definitions

2.1 "Goods" means the natural stone, composite stone, quartz, porcelain, tiles, and related products that we offer for sale.

2.2 "Order" means an order placed by the Customer for the purchase of Goods.

2.3 "Contract" means the legally binding agreement between Top Stone Station Ltd and the Customer for the supply of Goods.

3. Products and Availability

3.1 All Goods are subject to availability. If an item is out of stock, we will notify you and offer a suitable replacement or a refund.

3.2 We take reasonable steps to ensure that all product descriptions, prices, and specifications provided on our website are accurate, but there may be occasional errors. In the event of an error, we will notify you prior to the processing of your order.

4. Natural Stone

4.1 Natural stone is a unique material, and as such, variations in colour, pattern, and texture are inherent. We cannot guarantee that the stone delivered will exactly match the sample or images provided.

4.2 Due to the natural formation of stone, surface defects such as cracks, pits, veins, and other imperfections may occur. Such defects are considered part of the natural beauty and character of the material and are not grounds for a return or exchange.

4.3 The Customer must inspect the stone upon delivery. Any defects or discrepancies must be reported to us within 7 working days of delivery.

5. Quartz and Porcelain

5.1 When purchasing quartz or porcelain, the Customer acknowledges that batch control is critical to ensure consistency in colour, pattern, and texture. We, the supplier, are obliged to ensure that the batches delivered are consistent with each other.

5.2 It is the Customer's responsibility to check the batch number at the point of delivery to confirm that the items are from the same batch. Mistakes can happen, and discrepancies should be reported immediately.

5.3 In the event that a batch mismatch is discovered after delivery, it may be difficult to resolve. The Customer must verify batch details at the time of delivery to avoid such issues.

6. Tiles

6.1 The Customer must check all tile deliveries at the point of receipt. Any breakages, damages, or discrepancies must be reported to us within 7 working days from the delivery date.

6.2 Tile boxes must not show signs of water damage or exposure to moisture. Any tiles with water damage will not be accepted for return or exchange.

6.3 All tile returns are subject to the condition that the packaging is intact and the tiles are undamaged. If there are any issues with the tiles upon delivery, the Customer must notify us immediately.

7. Stone Slabs (Natural and Man-Made)

7.1 All stone slabs (natural and man-made) are shipped with labels affixed to them. These labels are essential for identifying the goods and tracking returns or exchanges.

7.2 If the label is removed or damaged, the slab may not be eligible for return, exchange, or refund. The Customer must ensure that the labels remain intact upon receipt of the goods.

8. Processed or Fabricated Materials

8.1 Any materials that have undergone processing, cutting, or fabrication are non-returnable and non-exchangeable, unless otherwise agreed by Top Stone Station.

8.2 The Customer must inspect all materials thoroughly before processing or fabrication. Once processed or fabricated, the Goods will be considered as accepted and will not be subject to return or exchange.

8.3 Any issues arising after processing, including damage or defects, will be dealt with at the discretion of Top Stone Station.

9. Order Process and Acceptance

9.1 By placing an order through our website, email, or by phone, you make an offer to purchase the Goods, subject to these Terms.

9.2 We will acknowledge your order by email, but the contract will only be deemed accepted once we send you a confirmation email or when the Goods are dispatched.

9.3 We reserve the right to refuse any order at our discretion, including in cases of suspected fraud or non-compliance with these Terms.

10. Prices and Payment Terms

10.1 All prices are quoted in GBP and exclude VAT unless otherwise stated.

10.2 Payment must be made in full prior to dispatch of Goods, unless otherwise agreed in writing.

10.3 Payments may be made by BACS, credit card, or other payment methods specified by us. Credit facilities may be available at the discretion of Top Stone Station, subject to a separate agreement.

10.4 If payment is not received in full within the specified period, we may suspend or cancel your order.

10.5 If a pricing error occurs, we will inform you and offer the option to cancel the order or proceed with the correct price.

11. Delivery

11.1 Delivery of Goods will be made to the address provided by the Customer at the time of order. We aim to deliver Goods within 10 days of stock arrival and/or order processing.

11.2 Delivery dates are estimates only, and we are not liable for delays caused by third parties, events beyond our control, or force majeure circumstances.

11.3 The Customer must ensure that someone is available to sign for the Goods upon delivery. Risk in the Goods passes to the Customer upon delivery, and the Goods will be considered accepted once signed for.

11.4 If the Customer is unavailable for delivery or refuses the Goods, the Customer may be charged for any additional delivery costs.

12. Returns and Cancellations

12.1 The Customer may cancel an order before dispatch by notifying us in writing.

12.2 Returns are accepted only within 7 working days of delivery. The Customer must notify us in writing within this period.

12.3 Returned Goods must be in their original condition and packaging. The Customer is responsible for the cost of return shipping unless the Goods are damaged or incorrect.

12.4 A restocking fee may apply to returned Goods. Refunds or exchanges are at the discretion of Top Stone Station.

12.5 No returns or exchanges will be accepted for Goods after 7 working days from delivery unless the Goods are defective.

13. Risk and Ownership

13.1 Ownership of the Goods passes to the Customer upon full payment being received by us. However, the risk in the Goods passes to the Customer once they are delivered and signed for.

13.2 If the Customer fails to make payment, we reserve the right to take legal action to reclaim the Goods or seek compensation.

14. Liability and Warranty

14.1 We warrant that the Goods will be free from defects in materials and workmanship at the time of delivery. Any defects should be reported to us immediately in writing.

14.2 We will not be liable for any indirect, special, or consequential loss, including loss of business, profit, or goodwill.

14.3 Our liability for any claim arising from the sale of Goods will not exceed the purchase price paid for those Goods.

14.4 Claims for damaged or incorrect Goods must be submitted in writing within 7 days of delivery. No claims for damages or losses will be accepted after the delivery note is signed, as it constitutes acceptance of the Goods.

15. Force Majeure

15.1 We will not be held liable for any failure or delay in performance of our obligations caused by events beyond our reasonable control, including natural disasters, war, strikes, or government restrictions.

16. Data Protection

16.1 We are committed to protecting your privacy and complying with the EU General Data Protection Regulation (GDPR). Any personal data provided will be processed in accordance with our Privacy Policy.

16.2 You consent to our collection and use of your personal data for the purposes of processing your order, delivering Goods, and complying with legal obligations.

17. Governing Law and Jurisdiction

17.1 These Terms are governed by the laws of the United Kingdom.

17.2 Any disputes arising from these Terms or the sale of Goods shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

18. Indemnity

18.1 The Customer agrees to indemnify and hold harmless Top Stone Station Ltd, its directors, officers, employees, and agents from any claim, loss, or damage arising from the Customer’s use of the Goods, including any breach of these Terms.

19. Intellectual Property

19.1 All intellectual property rights in the website, product designs, and related materials are owned by or licensed to Top Stone Station Ltd.

19.2 The Customer agrees not to reproduce, modify, or distribute any of our intellectual property without prior written consent.

20. Severability

20.1 If any provision of these Terms is found to be invalid or unenforceable, the remainder of these Terms will remain in full force and effect.

21. Entire Agreement

21.1 These Terms constitute the entire agreement between Top Stone Station Ltd and the Customer concerning the sale of Goods. Any previous agreements or understandings are superseded by these Terms.
